its terms of agreement (“Agreement”) are entered into by and between NIPELEKE Company Limited (“NIPELEKE”) and the user (“User” or “You”), collectively referred to as the “Parties”. 

By using our services, including our mobile application and website, you agree to be bound by the terms and conditions described in this Agreement. Please read this Agreement carefully before accessing or using the NIPELEKE mobile application (“Application”) or any services provided by NIPELEKE. By accessing or using the Application, the User agrees to be bound by this Agreement. 

                                                                                                  Overview

1.1 NIPELEKE is a ride-sharing platform that allows users to book rides, hire handyman service providers, and make deliveries. NIPELEKE also facilitates boat and car rentals through independent contractors who upload their vehicles to the app for rental purposes. 

1.2 NIPELEKE is not the owner of the vehicles or boats available on the Application. NIPELEKE acts as an intermediary, connecting Users with independent service providers who provide the requested services. 

1.3 NIPELEKE charges a commission to independent contractors for using the application and generating reservations through it. 

1. Use of the Services: 1.1. Eligibility: You must be of legal age to use our services. By using our Services, you represent and warrant that you have the legal capacity to enter into this Agreement. 1.2. User Responsibility: You agree not to misuse our services, engage in illegal activity, or violate applicable laws and regulations. You are responsible for maintaining the confidentiality of your account and password. 

2. Our services: 2.1 Carpooling service: NIPELEKE provides users with a platform to book trips with independent drivers who drive their own vehicles. NIPELEKE does not employ or contract the Drivers, who are independent service providers. We are not the provider of transportation, delivery or other services. Independent contractors provide these services. 

2.2 Deliveries: NIPELEKE allows Users to request delivery services for various goods. Independent contractors registered on the Application will fulfill these delivery requests. 

2.3 Handyman Service: NIPELEKE allows users to book handyman service providers for tasks such as repairs, installations or maintenance work. Handyman Service Providers are independent contractors and NIPELEKE is not responsible for any services or warranties provided by them. 

2.4 Boat and Car Rental: NIPELEKE provides a platform for users to rent boats or cars owned by independent contractors. NIPELEKE approves or guarantees the quality, suitability or safety of the boats or cars rented. Users assume all rental risks. NIPELEKE offers ridesharing, delivery, handyman, boat and car rentals (coming soon) as well as other services described on our app or website.

3. User Obligations 3.1 Accuracy of Information: The User must provide accurate and up-to-date information during the registration process and when using the Application. 3.2 Compliance with Laws: The User must comply with all applicable laws, regulations and rules when using the Application and Receiving Services through NIPELEKE. 3.3 Prohibited activities: the user undertakes not to engage in any activity likely to harm the reputation of NIPELEKE or violate the rights of other users or third parties when using the application.

 4. Intellectual Property 4.1 Ownership of the Application: NIPELEKE retains all rights, title and interests in and to the Application, including all intellectual property rights associated therewith. 4.2 Grant of License: NIPELEKE grants the User a limited, non-exclusive, non-transferable license to use the Application in accordance with this Agreement. By submitting Content, you grant NIPELEKE a worldwide, non-exclusive, royalty-free license to use, modify and distribute your Content in connection with our Services. 

5. Payments 5.1 Pricing and payment: the user agrees to pay the costs for the services provided by NIPELEKE, including the price of the races, the delivery costs and the rental costs. Payment must be made via the designated payment methods supported by the app. You agree to pay the Fees for the Services specified in the Application or Website. Payment terms and methods will be described during the booking or transaction process. 

5.2 Commission: independent entrepreneurs agree to pay NIPELEKE a commission for each reservation made via the application. The commission rate will be determined by NIPELEKE and communicated to independent contractors. 

5.3 Third-Party Processors: Payments are processed by secure third-party payment processors. NIPELEKE does not directly store or process payment information.

6. Limitation of liability 6.1. Warning: NIPELEKE is not responsible for the actions, conduct or negligence of its independent contractors or third-party service providers. NIPELEKE does not provide any warranty, explicit or implicit, regarding the services or products offered via the application. 

6.2 Indemnification: User agrees to indemnify and hold harmless NIPELEKE, its affiliates and their respective officers, directors, employees and agents.
